Service Deliverables: Upon full payment for services, the Client shall receive ownership of the specific deliverables created for them as defined in the engagement agreement. The Company retains the right to use general methodologies, tools, and knowledge gained during the engagement.
Trademarks: The JENONA CONSULTING, LLC name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company. You may not use such marks without our prior written permission.

This obligation shall survive the termination of any engagement and continue for a period of five years from the date of disclosure, or indefinitely for trade secrets.
Confidential information does not include information that is or becomes publicly available through no fault of the receiving party, is rightfully received from a third party without restriction, is independently developed without use of the confidential information, or is required to be disclosed by law.
To the maximum extent permitted by applicable law, JENONA CONSULTING, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from: your access to or use of or inability to access or use the website; any conduct or content of any third party on the website; or any services obtained through the website.
In no event shall the total liability of the Company for all claims arising out of or relating to the use of the website or services exceed the amount paid by you, if any, for accessing the website or engaging the services during the twelve months preceding the claim.

If the dispute cannot be resolved through negotiation within thirty days, the parties agree to submit the dispute to binding mediation before a mutually agreed upon mediator in New Haven County, Connecticut, before pursuing any other available remedies.
If any provision of these Terms of Service is held to be unenforceable or invalid, such provision shall be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions shall continue in full force and effect.
These Terms of Service, together with our Privacy Policy and any separate written engagement agreement between the Company and the Client, constitute the entire agreement between you and JENONA CONSULTING, LLC regarding the use of the website and services, superseding any prior agreements or understandings.
No waiver of any term of these Terms of Service shall be deemed a further or continuing waiver of such term or any other term, and the Companys failure to assert any right or provision under these terms shall not constitute a waiver of such right or provision.
